HAWAII WATER ENVIRONMENT ASSOCIATION
CONSTITUTION AND BYLAWS (Page 1 of 2)

       
1. NAME
     
  1.1 The name of this corporation shall be the Hawaii Water Environment Association, Incorporated, hereinafter designated as the Association.
         
2. AFFILIATION
     
  2.1 The Association shall be a member of the Water Environment Federation, hereinafter designated as the Federation, and shall participate in the activities of that organization. It is the intent that the Constitution and Bylaws of this Association, hereinafter designated as this document, shall be in harmony with the Constitution and Bylaws of the Federation.
         
3. OBJECTIVES
     
  3.1 Advance the fundamental knowledge of the water environment, its basic qualities, and physical laws governing its interaction with other aspects of the environment and with the aesthetic, economic, and biological needs of the earth's inhabitants.
         
  3.2 Advance the knowledge and technology of design, construction, operation, and management of water quality control systems and facilities.
         
  3.3 Increase the knowledge and understanding of the earth's water environment and encourage and promote action necessary for its enhancement.
         
  3.4 Develop and implement effective delivery mechanisms to rapidly disseminate knowledge concerning the water environment to members and other interested parties.
         
  3.5 Promote sound policy in matters relating to the water environment.
         
  3.6 Improve the professional status of all personnel engaged in any aspect of protecting and improving the earth's water environment.
         
  3.7 Strengthen and build alliances with organizations throughout the world incorporating members of all professions dedicated to the preservation and enhancement of water quality and water resources.
         
  3.8 Stimulate public awareness of the relationship of water resources to the public welfare and the need for pollution prevention, resource recovery, preservation, conservation, and reuse of water resources.
         
4. FRANCHISE
         
  4.1 The exclusive service area of the Association shall consist of the state of Hawaii.
         
5. MEMBERSHIP CLASSIFICATIONS, QUALIFICATIONS, AND PRIVILEGES
         
  5.1 The membership of the Association shall consist of persons and organizations interested in any of the objectives of the Association, and residing in and/or maintaining a place of business within the state of Hawaii, and having such qualifications as are prescribed in the Bylaws for the various grades of membership.
         
  5.2 The term "eligible voting member" as used in this document shall include all persons having the rights and privileges to vote as prescribed in this document.
         
  5.3 Membership Classes
    5.3.1 Active Members
    5.3.2 Corporate Members
    5.3.3 Professional Wastewater Operations Division (PWOD) Members
    5.3.4 Student Members
    5.3.5 Retired Members
    5.3.6 Dual Members
    5.3.7 Life Members
         
  5.4 Active Members
    5.4.1 Qualifications
      5.4.1.1 Any person professionally engaged or interested in the advancement of knowledge relating to the objectives of the Federation and Association.
    5.4.2 Rights and Privileges
      5.4.2.1 Shall be an eligible voting member of the Association.
      5.4.2.2 Shall have all the rights and privileges granted by the Federation and Association including the rights to hold office and serve on committees.
      5.4.2.3 Shall be entitled to receive publications of the Federation, as authorized by its Board of Control, and publications of the Association, as authorized by its Board, for the Active membership class.
         
  5.5 Corporate Members
    5.5.1 Qualifications
      5.5.1.1 Any organization engaged in the design, construction, operation, or management of water environment systems, a government agency, an industrial organization, or any other corporate body or organization engaged in or interested in at least one of the stated objectives of the Federation and the Association.
    5.5.2 Rights and Privileges
      5.5.2.1 Shall be entitled to one representative who shall have all the rights and privileges of an Active Member. The representative may be changed at the discretion of the Corporate Member on written notice to the Secretary of the Association.
         
  5.6 Professional Wastewater Operations Division Members
    5.6.1 Qualifications
      5.6.1.1 Any person who is actively employed by a responsible operating entity in the operation and maintenance of wastewater collection facilities, wastewater treatment facilities or wastewater laboratories provided for such facilities, or actively employed as an off-site laboratory technician who routinely performs wastewater analyses, or retired therefrom.
    5.6.2 Rights and Privileges
      5.6.2.1 Shall be an eligible voting member of the Association.
      5.6.2.2 Shall have all the rights and privileges granted to the PWOD class of membership by the Federation and Association including the rights to hold office and serve on committees.
      5.6.2.3 Shall be entitled to receive publications of the Federation, as authorized by its Board of Control, and publications of the Association, as authorized by its Board, for the PWOD membership class.
         
  5.7 Student Members
    5.7.1 Qualifications
      5.7.1.1 Any person actively enrolled in a college or university and is a student who spends at least one-half of their time on academic course work or the equivalent.
    5.7.2 Rights and Privileges
      5.7.2.1 Shall have all the rights and privileges of an Active Member except holding Association and Federation office.
      5.7.2.2 May not retain this class of membership beyond the first anniversary date following termination of qualifications as a Student Member.
         
  5.8 Retired Member
    5.8.1 Qualifications
      5.8.1.1 Any person retired from and not currently professionally affiliated with the water quality field.
    5.8.2 Rights and Privileges
      5.8.2.1 Shall have all the rights and privileges of an Active Member except holding Federation office.
      5.8.2.2 May not retain this class of membership beyond the first anniversary date following re-employment and/or professional affiliation within the water quality field.
         
  5.9 Dual Member
    5.9.1 Qualifications
      5.9.1.1 Any person whose residence or place of business is outside of the state of Hawaii, is an Active Member in good standing of any other Member Association of the Federation, and desires to also be a Association member.
    5.9.2 Rights and Privileges
      5.9.2.1 Shall have all the rights and privileges of an Active Member except for voting and holding Association office.
         
  5.10 Life Member
    5.10.1 Qualifications
      5.10.1.1 Any person that has been an Active or a Professional Wastewater Operations Division Member or combination thereof of this Association for 35 years or more, has attained the age of 65 years or more, and has applied to the Association for Life Membership through the Secretary-Treasurer.
    5.10.2 Rights and Privileges
      5.10.2.1 Shall have all the rights and privileges granted by the Association to a member in the membership class held before Life Membership was granted, except that they will pay no Association dues nor can they hold Federation office. However, an Association Life Member that does not continue to pay Federation dues or become a Federation Life Member will no longer receive publications or other services from the Federation.
         
6. ELECTED OFFICERS
     
  6.1 The elected officers of the Association shall be a President, a Vice President, a Secretary- Treasurer, a PWOD Regional Council Representative, and a Federation Director to serve on the Board of Control of the Federation.
         
  6.2 All officers shall be Association eligible voting members. The PWOD Regional Council Representative shall be a PWOD member.
         
7. BOARD OF DIRECTORS
         
  7.1 The affairs of the Association shall be managed by a Board of Directors, hereinafter designated as the Board, under such rules as the Board may determine, subject to the specific conditions of this document.
         
8. OFFICERS DUTIES AND FUNCTIONS
 
  8.1 President
    8.1.1 General supervision of the affairs of the Association.
    8.1.2 Preside at all conferences and meetings of the Association and meetings of the Board.
    8.1.3 Be an ex-officio member of all committees, other than the Nominating Committee, and appoint the members of all committees where membership is not otherwise specified in the Bylaws.
    8.1.4 Perform such other duties as may be assigned by the Board.
         
  8.2 Vice-President
    8.2.1 Assist the President in the performance of prescribed duties.
    8.2.2 Preside at conferences and meetings of the Association and meetings of the Board in the absence of the President.
    8.2.3 Be an ex-officio member of all committees, other than the Nominating Committee.
    8.2.4 Perform such other duties as may be assigned by the Board.
         
  8.3 Federation Director
    8.3.1 The Federation Director shall represent the Association in the conduct of all business by the Board of Control of the Federation and be a member of the Water Environment Federation.
    8.3.2 Attend all Board of Control meetings of the Water Environment Federation, if possible.
    8.3.3 Prepare a written report of the Board of Control meetings to be disseminated to the Association members as soon as practical.
    8.3.4 Keep a record of activities while serving as Federation Director and pass this record on annually to the Board.
    8.3.5 Attend all meetings of the Association and its Board.
    8.3.6 Perform such other duties as may be assigned by the Board.
         
  8.4 Secretary-Treasurer
    8.4.1 Serve as the Executive Officer of the Association, and operate under the general direction of the President and the Board.
    8.4.2 Prepare the agenda for, attend, record, and distribute the proceedings of all Board meetings.
    8.4.3 See that all monies due the Association and the Federation are collected carefully and without loss, are transferred to the Federation, or Association accounts as appropriate.
    8.4.4 See that all expenditures are properly entered in the records of the Association, and that the bills and vouchers for their payments are proper and in order.
    8.4.5 Sign or see to the signing of checks or drafts against funds of the Association, all according to procedures established or approved by the Board.
    8.4.6 Forward to the Officers and each Board member a quarterly financial summary of accrued income and expenses consistent with the annual financial statement.
    8.4.7 Present at the first regular meeting of the new fiscal year a balance sheet of the books as of the end of the previous fiscal year, which books shall be made available for audit, annually or as otherwise specified by the Board at the expense of the Association, by a certified public accountant appointed by the Board.
    8.4.8 Maintain records of the Association, including a list of members of the Association.
    8.4.9 Consult with the officers of the Association as to the custody and investment of funds and preparation of an annual budget.
    8.4.10 Perform such other duties as may be assigned by the Board.
         
  8.5 PWOD Regional Council Representative
    8.5.1 The PWOD Regional Council Representative shall represent the Association on the PWOD Regional Council.
    8.5.2 Preside at all conferences and meetings of the PWOD.
    8.5.3 Keep a record of activities while serving as PWOD Regional Council Representative and pass this record on annually to the Board.
    8.5.4 Attend all meetings of the Association and its Board.
    8.5.5 Perform such other duties as may be assigned by the Board.
         
  8.6

Line of Succession for President

    8.6.1 In case the President cannot act, the Vice-President shall act.  In case the Vice-President cannot act, the most recent living Past President shall do so, and at last resort the Board shall elect one of its members to act if that Past President cannot do so.
